Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Origami Platform ("Company", "we", "us", or "our"), concerning your access to and use of the services offered through the Origami Platform website. By accessing or using our services, you agree to be bound by these Terms.

2. Co-Development Services

Origami Platform provides custom software co-development services utilizing the proprietary Origami Core Platform. The specific scope of work, timelines, and payment terms will be detailed in a separate, written **Statement of Work (SOW)** or Service Agreement, which, when executed, shall supersede any conflicting terms herein.

3. Intellectual Property Rights

3.1 Client IP

Upon final payment for a custom module defined in an SOW, all unique business logic, design elements, data schemas, and custom code developed specifically for the Client shall be the exclusive property of the Client ("Client IP").

3.2 Company IP (Origami Core)

The underlying Origami Core Platform, which includes but is not limited to the base database structure, user authentication, security components, and general UI/UX libraries, remains the sole and exclusive property of Origami Platform ("Company IP"). Client is granted a non-exclusive, non-transferable license to use the Company IP solely to operate the software module developed for them.

4. Payment and Fees

Fees for services will consist of a one-time setup/customization fee and recurring monthly hosting/maintenance fees, as outlined in the SOW. All fees are non-refundable unless otherwise stipulated in the SOW.

5. Governing Law

These Terms are governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.
